Welcome to Medoptix Inc. (“Medoptix,” “we,” “our,” or “us”).

These Terms & Conditions (“Terms”) govern your access to and use of:

• Our AI-powered supply chain optimization platform
• All related features, tools, analytics, and services provided by Medoptix

By accessing our website or using our platform, you agree to comply with these Terms.

If you do not agree, please stop using our services immediately.

1. Definitions

“Platform” refers to the Medoptix AI-powered system, dashboards, analytics, forecasting tools, and all online services.

“User,” “you,” or “Client” refers to any individual or organization using Medoptix.

“Subscription” refers to any paid tier or service plan.

“Content” means all data, insights, outputs, and materials provided through Medoptix.

2. Use of the Platform

2.1 Eligibility

• Users must be at least 18 years old.
• Organizations must designate an authorized representative.

2.2 Account Responsibility

You are responsible for:

• Keeping login credentials confidential
• Ensuring all usage under your account follows these Terms
• Providing accurate business information

Unauthorized activity under your account is your responsibility unless caused by Medoptix.

2.3 Permitted Use

You may use Medoptix solely for:

• Internal business operations
• Supply chain decision-making
• Forecasting, vendor planning, and compliance support

2.4 Prohibited Use

You may not:

• Reverse-engineer, copy, or resell any part of Medoptix
• Attempt to extract AI models, system logic, or proprietary algorithms
• Upload harmful code or malicious data
• Use the system in violation of laws or regulations
• Interfere with servers, security measures, or access controls

Unauthorized use may lead to account suspension or legal action.

3. Subscriptions, Pricing & Payments

3.1 Subscription Plans

Medoptix offers tiered subscription options with different feature levels.

3.2 Billing

• Subscriptions may be billed monthly or annually
• Fees are listed in CAD
• All payments are non-refundable, unless required by law
• Subscriptions renew automatically unless canceled before the renewal date

3.3 Failed Payments

Medoptix may:

• Suspend platform access
• Charge late fees
• Terminate the account after repeated failures

3.4 Pricing Changes

Prices and features may change with prior notice.

Continued use means you accept updated pricing.

4. Data & User Content

4.1 Ownership

• You retain ownership of all business data you upload.
• Medoptix owns the platform, algorithms, AI systems, design, and intellectual property.

4.2 Your License to Medoptix

To operate and improve the service, you grant Medoptix permission to:

• Process and analyze your data
• Generate insights and forecasts
• Improve accuracy and system performance

We will not sell your data.

4.3 Accuracy of Data

Medoptix is not responsible for:

• Incorrect results caused by inaccurate or outdated user data
• Business decisions made solely based on platform insights

You are responsible for verifying information before acting on it.

5. AI-Generated Insights

The Medoptix platform uses artificial intelligence to generate:

• Demand forecasts
• Vendor insights
• Compliance-related notifications
• Operational recommendations

You acknowledge that:

• AI-generated information is predictive, not guaranteed
• Insights support—not replace—professional decision-making
• Medoptix is not liable for decisions made solely based on analytics or predictions

6. Platform Availability

6.1 Uptime

We aim to maintain continuous availability but cannot guarantee:

• Uninterrupted access
• Freedom from errors
• Zero downtime due to maintenance, updates, or external factors

6.2 Platform Changes

Medoptix may update, enhance, or modify features at any time

Significant changes will be communicated to users.

7. Intellectual Property

All software, algorithms, design elements, graphics, trademarks, and data models are the exclusive property of Medoptix Inc.

You may not:

• Copy or redistribute any part of the platform
• Create derivative works
• Modify or extract system components
• Use Medoptix branding without written approval

8. Confidentiality

Both parties agree to keep confidential:

• Business and operational data
• Supply chain information
• Vendor and pricing details
• Internal processes
• Non-public technical information

This obligation continues even after service termination.

9. Limitation of Liability

To the fullest extent allowed by law, Medoptix is not responsible for:

• Lost revenue, profits, or opportunities
• Business interruption
• Incorrect forecasts resulting from wrong user data
• Vendor-related issues or business losses
• Compliance penalties resulting from data outside our control
• Temporary downtime or system errors

Medoptix’s total liability will not exceed the total subscription fees paid during the last 12 months.

10. Termination

Medoptix may terminate access if:

• You violate these Terms
• Your payment is overdue
• Unauthorized use is detected

You may cancel anytime, but payments already made will not be refunded.

Upon termination:

• Access to the platform is removed
• Data may be retained as required by Canadian law
• Users may request an export of permitted data (depending on plan)

11. Third-Party Tools & Integrations

Medoptix may integrate with:

• Cloud hosting services
• Analytics tools
• Vendor databases
• Third-party compliance sources

We are not responsible for:

• Their outages
• Their accuracy
• Their privacy practices

Users should review those policies separately.

12. Governing Law

These Terms are governed by the laws of Ontario, Canada.

Any disputes will be resolved in Ontario courts.

13. Updates to These Terms

Medoptix may update these Terms periodically.

The “Last Updated” date indicates the latest version.

Continued use after changes means acceptance of updated Terms.
